Definitions:

In these conditions ‘The Seller’ means Floral Essential Limited, its servants and agents. ‘The Buyer’ means any corporate identity, firm or person seeking to buy goods from ‘The Seller’... ‘The Goods’ means products manufactured, sold or supplied in connection with services of the Seller. Floral Essential Limited is registered in the UK – NO: 033323044 (VAT No: 692 5582 95)

These conditions form part of the contract except insofar as inconsistent with the express terms thereof:-

Conditions of Sale:

1. Orders are accepted subject to goods being available and unsold at the time of order. Customers will be contacted regarding any ‘out of stock’ items ordered and given the opportunity to either cancel the item from the order or place the item on ‘back order’ for delivery when stock is available. If for any reason, beyond the SELLER’s control, the SELLER is unable to obtain any GOODS or materials necessary to fulfil an order, the SELLER shall not be liable for any damage and/or loss incurred through non-delivery.

2. Any quotation given by the SELLER must be accepted within 21 days from the date of the quotation or such other period that may be stated in the quotation. Any quotation given is conditional on the BUYER giving all necessary instruction to enable all the GOODS to be delivered as quickly as possible.

3. No contract shall exist between the SELLER and the BUYER until the SELLER gives written confirmation of the order to the BUYER.

4. ‘The SELLER reserves the rights to revise product specifications and update prices where necessary and withdraw any item from sale without prior notification.

5. All product images & descriptions displayed on printed material or on the Floral Essential Limited website are provided for information/illustrative purposes only. Whilst we do our very best to picture and describe all of our products as accurately as possible colours and sizes may vary from the details given.

6. All GOODS are sold and or supplied by the SELLER upon the terms that no warranty condition, representation or guarantee as to the quality or condition of the said GOODS or their fitness for any particular purposes is given by the Seller, nor is such warranty condition, representation or guarantee to be implied by statute, common law or otherwise. The SELLER shall not be responsible for any damage or loss howsoever arising directly or consequently out of GOODS supplied, or by reason of any failure of GOODS supplied to be suitable for any purpose or to comply with any specification or formula. The SELLER accepts no liability for specific characteristics or properties of GOODS unless these have been expressly given. If written notice is given to the SELLER, within one month of delivery, of any defect in the GOODS, and the SELLER agrees that the GOODS are defective, the SELLER will at his own opinion replace the defective GOODS or refund the purchase price of the GOODS. Defects in any delivery of GOODS ormaterials shall not be grounds for cancellation of the remainder of the order or contract

7. All, if any, statements, recommendations and advice given by the SELLER to the BUYER and its servants or agents are given without liability on the part of the SELLER. All descriptive advertising and other material issues by the SELLER’S experience and tests is believed to be reliable, but no responsibility is accepted for errors, infringement of trademarks or copyright.

8. No patent is granted or implied by the SELLER and no warranty is given by the SELLER against infringement of the patent of others. The BUYER shall be responsible for any claim of patents arising from the use of the GOODS supplied by the SELLER.

9. The SELLER shall not be in liable for any injury or consequential loss resulting from the application of any process treatment or storage of the GOODS after delivery.

10. Payment of the contract price shall, unless otherwise agreed in writing, be made in pounds sterling. Standard payment terms are 30 days from date of invoice (unless other arrangement has been agreed prior to the order being placed). Time for payment of the price of the GOODS shall be of the essence in the contract. If the BUYER fails to pay the price, when due, in accordance with the provisions of these conditions, the SELLER may treat the contract with the BUYER as repudiated and in addition, without prejudice to such right the SELLER shall be entitled to interest on the outstanding amount of the price from the due date of payment, until the price is paid in full at the rate of 4% above clearing bank base rate.

11. The following payment methods are accepted (for non account customers) – VISA/DELTA/MAESTRO/SOLO/ELECTRON, AMEX and MASTERCARD. We do not charge for any item until it is ready to ship (including ‘back orders’). All credit card transactions are completed on our secure server using 128 bit encryption. (Teleflorist member payments will be collected via: their Clearing House account)

12. All prices quoted are subject to VAT, where applicable at the rate in force at the time of invoice.

Terms of Delivery:

1. Title to the GOODS shall remain with the SELLER until paid for in full.

2. Risk in goods shall pass to the BUYER on delivery.

3. No cancellation of goods already in transit can be accepted. If the BUYER refuses these goods on arrival the BUYER will be responsible for the cost of

carriage and for any loss of profit incurred in reselling the GOODS.

4. If the SELLER is unable to make delivery of any GOODS the subject matter of a contract owing to an act of God, War, Strikes, Riots or Civil Commotion or any other cause beyond the SELLER’S control, the BUYER will have no claim against the SELLER in respect of such goods.

5. The time, if stated, for delivery of the GOODS shall not be of the essence of the contract and the SELLER shall not be responsible for failure or delay in delivery under the contract for any consequent losses arising there from.

6. If any of the goods supplied by the SELLER prove to be defective the BUYER must notify the SELLER of such defect within 3 days of receipt of the GOODS.

7. Goods returned to the SELLER, due to an error of the BUYER will only be credited if they are returned in a saleable condition. A handling fee may be charged. Goods must not be returned for credit without prior arrangement.

8. All UK parcel deliveries are delivered by Royal Mail or nominated parcel courier. Standard delivery service – 3 working days for Mainland UK, Highlands, Islands, Isle of Man and Northern Ireland, 5 working days for Eire, Channel Islands. Royal Mail items sent First Class will normally arrive the next day, however Royal Mail do state in their terms that items can take up to 15 working days.

9. Delivery will be made between the hours of 9am – 5pm (Monday-Friday). There may be a charge for parcels that have to re-delivered or returned to our warehouse. Please note your consignment will be delivered to the delivery address you provided and it will need to be signed for.

Privacy Policy/Website:

1. Floral Essential Limited do not disclose BUYER information to third parties, other than when order details are processed as part of the order fulfilment. In this case, the third party will not disclose any of the details to any third party.

2. Cookies are used on the Floral Essential Limited website to keep track of the contents of your shopping cart, to store delivery addresses if the address book is used and to store your details if you select the ‘Remember Me’ option. They are also used after you have logged on as part of that process. You can turn off cookies within your browser by going to ‘Tools/Internet Options/Privacy’ and selecting to block cookies. If you turn off cookies you will be unable to place orders or benefit from other features that utilise cookies.

3. All contracts to which these conditions apply will be constructed to the English & Private International law.

4. The headings of these conditions are provided for convenience only and shall have no effect on the interpretation thereof.
